The Canadian Securities Administrators (the CSA) have announced amendments to the rules governing rights offerings in Canada. The amendments are intended to streamline the conduct of prospectus-exempt rights offerings, and are scheduled to take effect on December 8, 2015. The US Securities and Exchange Commission (SEC) has adopted a final rule, by a 3-2 vote, to implement the requirement of Section 953(b) of the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010 (Dodd-Frank) that public companies disclose the ratio of the median of the annual total compensation of all employees to the total compensation of the company's CEO (or principal executive officer). On August 13, 2015, the Canadian Securities Administrators (CSA) published for comment proposed amendments to National Instrument 45-106 Prospectus Exemptions and its Companion Policy. The proposed amendments seek to harmonize the form of report for prospectus exempt distributions across Canada, while increasing the disclosure requirements. Read more

Since December 31, 2014, the Canadian securities administrators, other than those of British Columbia, Alberta and Prince Edward Island, require non-venture issuers to disclose their diversity policies as well as information on the representation of women on their boards and executive officer positions. When the non-venture issuers do not have a diversity policy or women representation, they will have to explain why.
