Myles Ross is a senior associate in the Corporate group of Dentons’ Calgary office. His practice covers corporate and securities law, with a particular focus on public securities laws. He has extensive experience advising clients on mergers and acquisitions, private placements, corporate governance and securities regulatory compliance. Myles works with issuers across a wide range of industries, including mining, renewable natural gas (RNG), oil and gas, technology, agribusiness, real estate and finance.

In addition to his focus, Myles also engages in general corporate work with private companies, offering guidance on transactional activities, private placement financings, board governance, drafting contracts and developing unanimous shareholder agreements.

Experience

Zedcor Inc. (TSXV: ZDC): Advising client in connection with its CA$2,266,965 public offering of 4,533,930 units and a CA$350,000 concurrent private placement of an additional 700,000 units.
Confidential Client: Representing the Vendors on a private share purchase transaction.
Confidential Client: Advising a leading Chinese multinational apparel company, in connection with the subscription for preferred shares in a Canadian apparel company through a British Virgin Islands special purpose vehicle, for an aggregate subscription price of CA$50,000,000.
Geophysx Jamaica Ltd.: Advising Geophysx on the negotiation of an earn-in agreement, granting Barrick Gold the right to earn a joint venture interest in Geophysx’s significant portfolio of mining properties on the island of Jamaica.
Confidential Client: Advising a client in a CA$350 million hybrid debt financing of subordinated notes.
Confidential Client: Advised a TSXV listed client with a number of multi-million private placement financings.
Confidential Client: Advised a non-reporting issuer with an intricate cross-boarder real estate entity set up for the purposes of raising money using an offering memorandum and ensuring mutual fund trust status was obtained/maintained.
Confidential Client: Advised numerous TSXV listed companies on three-cornered amalgamation, reverse takeovers and similarly structured transactions in going-public transactions.
Confidential Client: Represented a TSXV listed entity in the purchase of biogas entities across Canada in both asset and share purchase transactions, all greater than CA$5 million.
Confidential Client: Represented an agricultural equipment/operations client in a CA$80 million share sale where the client retained partial ownership of the company and the organization was restructured to a limited partnership in the aftermath of the initial transaction.
Confidential Client: Represented a construction company with contract construction and review on a >CA$1 billion project in Western Canada.
