In July 2016, the Supreme Court of the Republic of Kazakhstan adopted Regulatory Resolution “On certain issues of invalidity of transactions and the application by courts of the consequences of their invalidity,” which clarifies the grounds for invalidation of transactions and the possible consequences resulting from the invalidity of transactions. In this resolution, the division of invalid transactions into "voidable" and "void" was established.

In February 2017, various amendments were made to the Civil Code of the Republic of Kazakhstan, as a result of which, among other things, the concepts of "voidable" and "void" transactions were introduced and the general consequences of invalidity of transactions were established. The relationship between the said Regulatory Resolution of the RK Supreme Court and the latest amendments to the RK Civil Code raises certain issues that are proposed to be discussed.

These amendments have had a significant impact on the practice of considering various categories of disputes. For example, in view of the explanations of the RK Supreme Court and the General Prosecutor’s Office, the tax authorities changed their practice in respect of additional tax assessments for fictitious transactions. We propose to take a closer look at the practice of applying the updated concept of invalidity of transactions in various types of disputes.
