All too often the only focus on competition law in a corporate transaction is on any merger filings that may be required. However, from the first day a potential transaction is proposed, a host of competition law considerations need to be on the radar. These include the creation of internal and deal documents about the transaction, information-sharing risks arising from the exchange of potentially sensitive information during due diligence, gun-jumping risks ahead of completion, as well as working out which merger approvals are required and how they will impact on the deal timetable.

Identifying these issues early on and incorporating them into transaction planning minimises the prospect of them disrupting a deal. That's true in a pre- and post-Brexit world, but merger control is likely to play out differently after Brexit. Therefore, in addition to providing practical guidance on how best to manage the range of competition law issues that come up in transactions, this session will look at how Brexit will impact the way in which these issues need to be dealt with to ensure successful competition law outcomes – before and after Brexit.
