On June 1st, 2022, Saipem International B.V. (as seller), Saipem S.p.A. (as guarantor), KCA Deutag (Land Rig) Limited (as purchaser) and KCA Deutag International (as guarantor), entered into a Sale and Purchase Agreement in order to carve out Saipem's  onshore drilling business (the "Transaction"). It is important to consider that, in order to execute and comply with the agreements of the Transaction, a complex structure was designed, through which several companies and their branches were incorporated in the different countries included in the scope of the Transaction. Our participation included the integral advice and counseling throughout the process, the transfer agreements, the analysis of structures, the establishment of a Peruvian branch, allocation of funds, study of permitology, preparation of reports, negotiation on the labor implications of the operation and design of personnel transfer, among others.
