It is commonplace in our local building and construction market for the same parties to enter into multiple contracts for different projects. However, what happens if a main contractor has valid backcharges under Project A and wants to apply these to reduce payment for certified work done on Project B?
The recent Singapore Court of Appeal judgment in Wilson Taylor Asia Pacific Pte Ltd v Dyna-Jet Pte Ltd discusses the legal implications of an arbitration agreement of an asymmetrical nature. Such an arbitration agreement is one which confers a unilateral right (ie. a right which is enjoyed by only one party to the arbitration agreement but not by the other) on one party to elect whether to arbitrate a future dispute.
In CAA Technologies Pte Ltd v Newcon Builders Pte Ltd  SGHC 246, the Singapore High Court held that it could be appropriate to imply a term requiring contractors to perform their obligations with due diligence and expedition, and with respect to that, a term making time of the essence could be implied. The court also held that if, after the signing of a letter of intent, a party does not unequivocally signify its acceptance to a subsequent contract, that subsequent contract could not form part of the parties’ contract.
