Experience

Allied Cigar Corporation and Gemstone Investment Holding: Advising the two private equity consortiums on the acquisition of Imperial Brands’ premium hand-rolled cigar business for £1.1 billion, which included the Cohiba, Montecristo and Romeo y Julieta brands.
Calsonic Kansei: Advising KKR-backed Calsonic Kansei on its acquisition of Magneti Marelli S.p.A., the automotive components business of Fiat Chrysler Automobiles N.V.
CBRE: Advising CBRE Group Inc., the commercial real estate services and investment firm, on its announced definitive agreement to acquire 60% of Turner & Townsend Holdings Limited for US$1.3 billion.
Draslovka Holding: Advising the Czech-based global chemicals producer on its US$520 million acquisition of the mining solutions business (Chemours Mining Solutions) from NYSE-listed The Chemours Company, including US$348 million Term Loan B financing.
Dye & Durham: Advising TSX-listed Dye & Durham, a leading provider of cloud-based software and technology solutions to the legal industry, on its c. US$2.5 billion acquisition of the Link Group. ASX-listed Link provides mission-critical software and services, servicing more than 6,000 clients globally across the financial services and corporate business segments.
Informa PLC: Advising on the acquisition of Tarsus Group at an initial enterprise value of US$940 million. Advising on the exchange of its Agribusiness Intelligence Portfolio for IHS Markit’s leading portfolio of TMT brands.
Meopta Group: Advising the shareholders of Meopta Group, a manufacturer of optical, opto-mechanical, and opto-electronic solutions, in connection with the sale of the company to Global investment firm Carlyle.
Minit: Advising this leader in process mining technology, and its shareholders in connection with the sale of the group to Microsoft.
Mobisol: Advising this manufacturer of solar systems, on its takeover by the French energy supplier ENGIE. This deal led Engie to become the market leader in Africa in this segment.
Natixis Investment Managers: Advising one of the world's largest asset management firms on its acquisition of MV Credit, the UK-based, European credit specialist.
Parques Reunidos: Advising on Palace Entertainment’s acquisition of Adventureland. Adventureland, which has been operating as a family-owned business since 1974, offers more than 100 rides, shows, and family attractions.
Ripple Labs Singapore Pte Ltd: Advising Ripple Labs Singapore Pte. Ltd. (wholly-owned subsidiary of Ripple Labs Inc.) on its acquisition of a 40% shareholding interest in Tranglo Sdn Bhd (“TSB”), a Malaysian entity and one of Asia’s leading cross-border payments specialists.
SNAM: Advising this Italian-based multinational energy infrastructure operator, on its US$10.1 billion consortium investment in ADNOC Gas Pipelines. The transaction is one of the most important in the global energy infrastructure sector, as well as Snam’s first acquisition outside of Europe.
Spectrum Brands: Advising on the reorganization and divestment of its European pet food business and factory to United Petfood Producers NV (UPP); also assisting with the internal cross-border reorganization and disentanglement of Spectrum Brands’ European business in the Netherlands, Germany, Luxembourg, the UK and Slovakia.
Wavestone: Advising this consultancy group listed on Euronext Paris, on its combination with Q_PERIOR, a consulting leader in the Germany-Switzerland-Austria (GSA) region. The combination of the two firms will create a European champion in the consulting market.
