On October 25, 2022, the Office of Corporations issued the General Resolution No. 13/2022, published in the Official Gazette on October 27, 2022, on Simplified Share Companies (Sociedades por Acciones Simplificadas, or SAS). By means of this Resolution, the Office of Corporations provides the SAS with a 180 day term to attest:

• The existence and veracity of the corporate domicile;
• The request to obtain all the mandatory digital accounting and corporate books;
• The submission of the financial statements corresponding to the fiscal years ended as from 2020.

The above, under penalty of presuming the SAS as inactive, giving notice to the Tax Office and denying them any registration until effective compliance with this resolution.
