Acquisition of one of the largest asset management companies in Poland

Dentons supported the international financial and insurance group Generali in the acquisition of Union Investment TFI. Union Investment TFI is the sixth largest asset management company in Poland. The company manages a portfolio with a total value of €3.3 billion. Read more

Record financing of the largest Polish energy company

Dentons advised PGE Polska Grupa Energetyczna on its record funding of €957 million. This is the largest revolving loan granted in Poland in 2018. The funds from the loan will be used to finance PGE’s current operations, capital and capital expenditures and to refinance its financial liabilities. Read more

Acquisition of Warsaw’s legendary department store complex

Dentons advised Atrium European Real Estate on the acquisition of the Wars Sawa Junior department store complex from a fund managed by CBRE Global Investors. Built in the 1970s, it is currently one of the most famous shopping centres in Warsaw. The value of the transaction exceeded €300 million. Read more

Debentures issue program of a leading Polish bank

Dentons supported mBank in the financial, corporate and regulatory aspects related to the establishment of a euro medium-term note (EMTN) program with a value of up to €3 billion and in the preparation of the prospectus. The securities issued under the program will be admitted to listing on the Luxembourg stock exchange or on other stock exchanges in the European Union, including on several of them at the same time. Financing of the largest independent restaurant chain company in Central Europe

Dentons advised a consortium of banks Pekao S.A., Česká spořitelna, a.s., PKO BP, ING Bank Śląski on a €190 million financing facility for the AmRest Group. The financing is to be used for capital expenditures, mergers and acquisitions transactions and other corporate purposes of the group's companies. Read more

The largest public-private partnership project in Poland

Dentons is a legal advisor to the Ministry of Investment and Development and the Ministry of Sport and Tourism in a PPP project concerning the development of the fields around the National Stadium in Warsaw. The estimated value of the project is over €230 million. Read more

Countering Nazi propaganda and Holocaust denial

Dentons represented three Polish citizens, a former fighter of the Polish Home Army and Warsaw Uprising and two Holocaust survivors saved from the Warsaw Ghetto, on a pro bono basis, in a case against the publishers of books promoting Nazism and denying the Holocaust. Read more

Sale of shares in the tallest office building in Central Europe

Dentons advised Ghelamco on the sale of a 50% stake in the Warsaw Spire skyscraper (Building A), the tallest office building in Central Europe, to Madison International Real Estate Liquidity Fund VI LP. The value of the building is estimated to be €350 million. Read more

Financing the construction of three photovoltaic farms in Hungary

Dentons advised Enlight Renewable Energy on the negotiation of contracts for the construction and financing of three photovoltaic farms in Hungary. The financing documentation was subject to laws in five jurisdictions: Hungary, Great Britain, the USA, Israel and Germany. Read more

Dentons advised a consortium of banks – Santander Bank, PKO BP, BGK, mBank – on increasing the amount of financing for the construction of Galeria Młociny in Warsaw to €189 million and PLN 34 million. Read more

Tender offer for shares of the largest hotel chain in Central Europe

Dentons supported the Orbis Group in connection with a tender offer announced by its majority shareholder, AccorHotels, for all shares in the company beyond its control. This is one of the biggest calls announced in 2018 for shares of a company listed on the Warsaw Stock Exchange. Read more

Dentons advised Bank Gospodarstwa Krajowego on financing the construction and equipment of a district hospital in Żywiec. The project will be implemented as a public-private partnership. The loan amount is PLN 140 million. Read more

Dentons advised a consortium of German banks, including Helaba and pbb Deutsche Pfandbriefbank, on the €100 million refinancing of the acquisition of four office buildings in Poland by Griffin Premium Real Estate. Read more

Entry and expansion of the global leader of the offshore wind energy market in Poland

Dentons advised Equinor (formerly Statoil) on the purchase of shares in three offshore projects in the Baltic Sea from Polenergia and the establishment of joint ventures for purposes of further development. Baltic I, Baltic II and Baltic III are the most advanced offshore wind energy projects in Poland, as well as the largest wind power plants under construction in the country. Read more

Acquisition of the Cedet icon building in Warsaw

Dentons advised GLL Real Estate Partners on the acquisition from Immobel Poland of a historic building which is a modernist pearl of Polish post-war architecture. The new Cedet currently consists of a revitalized former Central Department Store and a new office building. The transaction value is €129.5 million. Read more

First European investment by a Japanese manufacturing company

Dentons supported Mitsui High-tec in its investment into a manufacturing plant for generator and motor parts for electric and hybrid vehicles. The plant will start operations in 2020 and produce parts for up to two million environmentally friendly vehicles per year. Read more

Obtaining financing for some of the largest R&D and investment projects in Poland

Dentons advised entities from the food, automotive and other sectors on the implementation of new technologies in meat processing plants, the implementation of solutions in the production of sunroofs and mirrors and the expansion of tyre manufacturing plants. Settlement of a power plant construction contract in Włocławek

Dentons successfully represented the general contractor, a consortium of General Electric and SNC-Lavalin, in negotiations with PKN Orlen on the settlement of a PLN 1.4 billion contract for the construction of a 463 MW gas-steam power plant in Włocławek. Read more

Advising on a global transaction on the margarine and spreads market

Dentons advised Upfield, a company backed by KKR, a global private equity fund, on the acquisition of a distribution company and production assets in a spreads products factory in Katowice. The transaction was part of KKR's global acquisition of Unilever's margarine and spreads business for more than €6.8 billion. Read more
