Dentons advised offeror Korporacja Inwestycyjna Polskiej Farmacji on the tender offer for the sale of 100% of shares in Pelion S.A. It is the largest tender offer for shares of a company listed on the Warsaw Stock Exchange this year.

The offeror, Korporacja Inwestycyjna Polskiej Farmacji, is controlled by Jacek Szwajcowski, with Zbigniew Molenda holding a minority stake. Both Szwajcowski and Molenda were founders of Pelion. The offer was addressed to other shareholders of Pelion S.A.

The Pelion group consists of approximately 170 subsidiaries. It provides services to patients, pharmacies, hospitals and manufacturers across all market sectors. Pelion S.A. is the holding company exercising ownership and supervision over all areas of the business of the group, which includes Polska Grupa Farmaceutyczną which focuses on the wholesale business, PGF Urtica, which supplies hospitals, CEPD which handles retail sales, and Pharmalink which provides services for manufacturers.
