Le 2 décembre 2021, la Direction générale de la concurrence, de la consommation et de la répression des fraudes (« DGCCRF ») a publié des lignes directrices relatives à la détermination des sanctions pour dépassement des délais de paiement interprofessionnels (« Lignes directrices »).
Lesdites Lignes directrices explicitent les modalités de contrôle des délais de paiement par l’administration et les sanctions pécuniaires auxquelles s’exposent les entreprises qui ne respectent pas les règles en vigueur. Elles détaillent également les observations utiles pouvant être apportées par l’entreprise pour expliquer certains retards ainsi que les recours dont elle dispose en cas de sanction.
S’agissant du calcul de l’amende, les Lignes directrices rappellent que la DGCCRF prononcera une sanction administrative calculée en suivant une méthodologie commune aux directions régionales de la DGCCRF en charge des contrôles (les « DREETS »).
En pratique, le montant de base de l’amende est en fonction de la rétention de trésorerie générée par les retards de paiement. Ce gain en besoin de fonds de roulement dépendra du montant des factures en retard et du nombre de jours de retard. Ce montant est ensuite ajusté selon les circonstances de l’espèce (taille et situation financière de l’entreprise, importance du retard par rapport au délai maximum concerné, etc.).
Si l’entreprise entend faire état de difficultés financières affectant sa capacité de payer l’amende, elle devra le faire pendant la phase contradictoire de la procédure. Elle pourra aussi demander un étalement du paiement de l’amende au Trésor Public.
Le fait que la DGCCRF rende publiques depuis quelques années sur son site toutes les amendes prononcées pour retard de paiement permet d’apprécier l’écart entre des amendes de quelques milliers d’euros et celle de 3,7 millions d’euros prononcées contre SFR en 2019.
La loi visant à la protection de la rémunération des agriculteurs, dite « EGalim 2 » du 18 octobre 2021, a introduit des nouveautés impactant les relations fournisseurs-distributeurs et les négociations commerciales dans l’agroalimentaire.
Parmi ces nouveautés, la loi EGalim 2 s’attaque aux pénalités logistiques qui visent tous les secteurs d’activités. Alors qu’elles avaient jusqu’ici pu être appréhendées sous l’angle de l’avantage sans contrepartie, l’article L. 442-1, I 3° du Code de commerce relatif aux pratiques restrictives de concurrence introduit dorénavant l’interdiction « d’imposer des pénalités ne respectant pas l’article L. 441-17. »
L’article L.441-17 visé par ce texte régit les modalités d’application des pénalités imposées au fournisseur par le distributeur, en cas d’inexécution d’engagements contractuels. Aux termes de cet article, le contrat doit prévoir une marge d’erreur suffisante au regard du volume de livraisons prévues par le contrat. Un délai suffisant doit, par ailleurs, être respecté pour informer l’autre partie en cas d’aléa.
Les pénalités infligées au fournisseur ne peuvent pas dépasser un montant correspondant à un pourcentage du prix d'achat des produits concernés. Elles doivent être proportionnées au préjudice subi au regard de l’inexécution d’engagements contractuels. Seules les situations ayant entraîné des ruptures de stocks peuvent, en principe, justifier l’application de pénalités logistiques. Dans les autres cas, le distributeur pourra infliger des pénalités logistiques s’il démontre et documente par écrit l’existence d’un préjudice. Dans tous les cas, il devra être tenu compte des circonstances indépendantes de la volonté des parties, telles que la force majeure.
Enfin, le texte prévoit que le distributeur ne peut pas exiger du fournisseur un délai de paiement des pénalités inférieur au délai de paiement qu’il applique à compter de la réception des marchandises.
Bien qu’il n’y soit pas fait référence dans l’article L.442-1, I 3°, l’article L.441-18 prévoit, de la même façon, la possibilité, pour le fournisseur, d’imposer des pénalités imposées au distributeur en cas d'inexécution d'un engagement contractuel du distributeur. A l’instar des pénalités imposées au fournisseur, les pénalités imposées au distributeur ne peuvent dépasser un montant correspondant à un pourcentage du prix d’achat des produits concernés et doivent être proportionnées au préjudice subi. La preuve du manquement se fait également par tout moyen et le distributeur dispose, lui aussi, d’un délai raisonnable pour vérifier et contester la réalité du grief correspondant.
Par trois arrêts du 4 janvier 2022, rendus en matière d’opérations de visite et saisie (OVS), la Chambre criminelle de la Cour de cassation a considéré en substance que le premier président de la Cour d’appel doit vérifier l’existence de présomptions de pratiques anticoncurrentielles pour se prononcer sur la légalité de l’autorisation de recours à des OVS. Toutefois, il n’est pas tenu de qualifier les pratiques en cause et d’indiquer si elles relèvent de la prohibition des ententes ou du contrôle des concentrations.
La présente affaire fait suite à des cessions croisées de fonds de commerce intervenues entre plusieurs entreprises actives dans le secteur de l’équarrissage. Lesdites opérations s’accompagnaient de clauses de non-concurrence. Ces cessions croisées auraient abouti à la création de zones géographiques d’exclusivité d’intervention réservées à chaque entreprise concernée et à une augmentation simultanée des prix et tarifs de celles-ci.
Considérant que cette situation aboutissait à la répartition géographique des marchés de l’équarrissage et à des agissements anticoncurrentiels, l’Autorité a été autorisée, par ordonnance du juge des libertés et de la détention (JLD), à diligenter des OVS en mai 2017 dans les locaux des entreprises concernées.
Les entreprises en cause ont contesté les ordonnances d’autorisation et le déroulement des OVS, qui ont été confirmées par le premier président de la Cour d’appel de Versailles. C’est dans ce contexte qu’elles ont introduit un pourvoi.
Les sociétés faisaient valoir que les seuls indices invoqués et retenus au titre d’une suspicion d’entente anticoncurrentielle résultaient en réalité des accords de cessions de fonds de commerce conclus par elle avec les sociétés, lesquels constituent des opérations de concentration ne relevant pas de la prohibition des ententes.
La Cour de cassation a rejeté cet argument. Elle a tout d’abord considéré que le JLD n’est pas le juge du fond mais celui de l’apparence. De ce fait, le JLD n’a pas à caractériser des présomptions précises, graves et concordantes mais doit vérifier l’existence d’indices laissant apparaître des faisceaux de présomptions d’agissements prohibés justifiant que soit recherchée leur preuve au moyen d’OVS et de documents s’y rapportant. Pour ce faire, le JLD doit se référer aux informations fournies par l’Autorité et faire une appréciation globale des éléments dont il dispose.
En outre, la Cour de cassation a estimé qu’il ne relève pas de la compétence du JLD (mais de celle de l’Autorité) de déterminer si les opérations de cessions croisées de fonds de commerce sont des opérations de concentration économique.
Il en résulte que, l’existence éventuelle d’une concentration économique ne saurait, a priori, exclure le recours à des OVS en cas de présomption de pratiques anticoncurrentielles.
Le 22 décembre 2021 l’Ordonnance n°2021-1734 transposant la directive 2019/2161 du Parlement européen et du Conseil du 27 novembre 2019 et relative à une meilleure application et une modernisation des règles de l'Union en matière de protection des consommateurs dite « Directive Omnibus » a été adoptée.
Parmi les nouveautés, le prix de référence qui doit être utilisé pour toute annonce d’une réduction de prix est défini comme étant le prix le plus bas pratiqué par le professionnel à l’égard de tous les consommateurs au cours des trente derniers jours précédant l’application de la réduction de prix.
Par ailleurs, un nouvel article L221-5-I prévoit les informations précontractuelles devant obligatoirement être transmises au consommateur en cas de conclusion d’un contrat de vente de biens ou de fournitures de services, de contenu numérique ou de services numériques (caractéristiques essentielles, prix, date à laquelle ou délai dans lequel le professionnel s’engage à livrer le bien ou fournir le service, contenu ou service numériques, informations relatives à l’identité du professionnel, etc.).
En matière de démarchage à domicile, il est désormais admis qu’est interdite toute visite non sollicitée d’un professionnel au domicile d’un consommateur en vue de vendre des produits ou services lorsque le consommateur a manifesté de manière claire et non ambiguë ne pas vouloir faire l’objet d’une telle visite (article L221-10-1).
Autre nouveauté introduite par l’Ordonnance, l’article L221-26-1-I prévoit que le professionnel s’abstient, sauf exceptions listées, d’utiliser tout contenu, autre que les données personnelles pour lesquelles il respecte les obligations en vigueur, qui a été fourni ou crée par le consommateur lors de l’utilisation du contenu ou du service numérique.
L’ordonnance introduit également de nouvelles pratiques commerciales trompeuses ou réputées trompeuses. Il en va, par exemple, ainsi du fait de ne pas indiquer la qualité de professionnel ou non du vendeur qui propose des produits sur une place de marché ou le fait de présenter, à tort, un bien comme identique à celui commercialisé dans un ou plusieurs autres Etats membres.
En outre, les sanctions auxquelles s’exposent les professionnels en cas de manquement aux règles qui leurs incombent sont renforcées. A titre d’exemple, le montant de l’amende encourue en cas de clauses abusives et de manquement du professionnel à son obligation d’information précontractuelle en cas de conclusion d’un contrat à distance ou hors établissement passe de 15 000 à 75 000 euros pour les personnes morales. Ces amendes pourront être portées à 4% du chiffre d’affaires moyen annuel réalisé par le professionnel en cas de commission d’une infraction de grande ampleur à l’échelle nationale ou de l’Union européenne.
Ces nouveautés entreront en vigueur le 28 mai 2022.
