Michael (Hanqi) Wang, formerly a partner with Dentons’ Shanghai office, is a Managing Director at Dentons Canada. Based in Toronto, Michael works closely with members of our China practice group, and helps promote greater engagement and cooperation between the China Region and Dentons Canada. As part of his mandate, Michael will develop new China-related revenue growth opportunities, provide guidance to Dentons Canada lawyers on working effectively with our colleagues in China, and identify lawyers in the China Region with the specific skills and experience we need to serve our clients.

Before moving to Canada, Michael managed the Capital Markets practice in China. He had held a seat on the Dentons Global Board and was previously the deputy CEO of Dentons’ China Region. With this deep knowledge of the Firm’s China Region, Michael is uniquely positioned to work with our Canadian team on transactions that are inbound to or outbound from China. Michael’s role in Canada helps us create a distinctive offering in the Canadian market due to his profile, relationships, and extensive experience and knowledge.

As a Foreign Legal Consultant with the Law Society of Ontario, Michael remains qualified to practice Chinese law, and can act as a foreign legal adviser for our clients with interests in China. His previous experience includes securities offering and listings, M&A, equity investments and derivatives. He has served as legal counsel for institutions such as Shanghai Stock Exchange (SSE), as well as for listed companies and funds. Michael has also worked with equity investment funds as a member of their investment committees.

Experience

China Yangtze River Three Gorges Development Co., Ltd.: Advised on restructuring electrical assets, and on its initial public offering (IPO) on the SSE. This case won the Local IPO Deal in the Asian Legal Business Awards China Deals of the Year 2004.
Jinan Iron and Steel Co., Ltd.: Advised on its IPO on the SSE.
Fushun Special Steel Shares Co., Ltd.: Advised on its IPO on the SSE.
Shanghai International Airport Co., Ltd.: Advised on its convertible bonds, the first convertible bond on the SSE issued by a listed company in Mainland China.
Guangzhou Pharmaceutical Co., Ltd.: Advised on its IPO on the SSE, the first deal for incorporation located in Mainland China that transferred H shares on the Hong Kong market to A shares in the capital market of Mainland China.
Qingdao Haier Refrigerator Co., Ltd.: Advised on its public offering of A shares in 2001.
KEE Holdings Co., Ltd.: Advised on its listing on the Hong Kong Stock Exchange (HKSE).
Ningbo Xianfeng New Material Co., Ltd.: Advised on its IPO on the ChiNext board of the Shenzhen Stock Exchange.
Jiangsu Tongguang Electronic Wire&Cable Co.: Advised on its IPO on the ChiNext board of the Shenzhen Stock Exchange.
CITIC Securities International and Morgan Stanley as sponsors and subscribers on the HKSE listing of OM Holding Limited, a company listed on the Australian Securities Exchange (ASX): Advised on a global offering.
Jiangsu Yabang Dyestuff Co., Ltd.: Advised on its IPO on the main board of the SSE, for which Michael was awarded “Deal Maker of the Year” 2014 by the renowned British financial magazine Finance Monthly.
Far East Horizon Co., Ltd.: Advised on offering renminbi bonds in the Hong Kong market, one of the earliest deals for a non-financial enterprise located in Mainland China to offer dim-sum bonds.
Danyang Investment Group Co., Ltd.: Advised on offering three stages of corporate bonds, including phase I, phase II and phase III.
Danyang Investment Group Co., Ltd.:Advised on offering the first stage of a medium-term note (MTN) program in 2014 and the first stage of a non-directional debt financing tool in 2014.
AVIC International Leasing Co., Ltd.: Advised on offering the first stage of an MTN program in 2014 and a short-term financing bill, as well as its first and second stage of a non-public debt financing tool in 2014.
South Capital Management Co., Ltd.: Advised on offering an asset-backed specialized plan called South Qi Yuan & Far East Hong Xin, the first product of asset-backed securitization (ABS) that was removed from the balance sheet to be publicly offered on the Shenzhen Stock Exchange.
Guotai Junan Securities Co., Ltd.: Advised on offering a specialized asset management plan backed by contract fees of Hai Bo Taxi.
Shanghai New Eyes Medical Inc.: Advised on its listing on the National Equities Exchange and Quotations (NEEQ), the first corporation located in Shanghai to be listed on the NEEQ.
Aviation Industry Co., China: Advised on its investment in Jiangsu Dingheng Shipbuilding Co., Ltd., one of the top three chemical cargo shipyards in China.
Suzhou Dongshan Precision Manufacturing Co., Ltd (SZ002384): Advised on its investment in SolFocus, Inc. USA, the world’s largest supplier of industrialized generator systems for focused solar power.
Koch-Glitsch, owned by Koch, the largest non-listed company in the United States: Advised on its acquisition.
Ningbo Xianfeng New Material Co., Ltd.: Advised on its acquisition of Kresta Holdings Ltd., a listed company, by takeover bid in the Australian Stock Exchange.
Softbank China Venture Capital: Advised on its acquisition of Jiangsu Yigang Online E-commerce Co., Ltd.
Korea Development Bank: Advised on its investment in China Crystal New Material Holdings Co., Ltd.
Shandong Gold Group Co., Ltd.: Advised on its acquisition of Xiangyu Futures Co., Ltd.
Shanghai CEFC China Energy Group Co., Ltd.: Advised on its acquisition of Wanda Futures Co., Ltd.
