This session will address disputes where business restructures are challenged by the ATO. Dentons have acted for the taxpayer, City Beach (Commissioner of Taxation v Hicks [2025] FCAFC 171) at every stage of the proceedings through to the High Court. Using the City Beach case as a practical example, we explain how the anti-avoidance rules are applied by the ATO and how the courts assess whether a restructure had a genuine commercial purpose. We will also cover the importance of transaction design and contemporaneous evidence in defending restructures.
