Responsibilities and practice

Dentons US LLP is seeking a senior-level associate (i.e., with a minimum of six years of experience in private practice practicing in the areas of commercial lending, banking and/or finance) or counsel (with a minimum of eight years of experience in the areas of commercial lending, banking and/or finance) to join its Banking and Finance practice in New York. Applicants should have significant transactional experience representing parties in secured and unsecured commercial lending and debt financing transactions of a variety of types and structures. At Dentons the candidate would be involved in commercial lending and financing transactions representing both borrowers and lenders across a wide variety of types of lending and financing transactions, including without limitation acquisition finance (involving both sponsor-backed and non-sponsor-backed borrowers), asset-based lending, asset backed financing, warehouse lending, fund finance, lender-finance, receivable financing, venture debt; trade finance, private bank lending. Clients and counterparties include commercial banks, investment banks, private credit providers, specialty lenders, and borrowers across a diverse set of industries, including, in particular the technology industry.

The attorney hired for this position should have a passion for working with a variety of clients and counterparties, of varying sizes, complexity, and sophistication – ranging from early-stage entrepreneurs and emerging growth tech companies to specialized financial services firms and institutions engaged in a variety of niche, debt financing transactions. The candidate can expect to assume such responsibilities as:

• Taking a significant-to-leading role in negotiating various credit and debt arrangements and the documents associated with same
• Assisting more senior attorneys to lead/manage lending and finance transactions from inception to closing, including larger syndicated and/or cross-border debt transactions
• Supervising more junior attorneys in the context of the above-described matters including with respect to the review and negotiation of loan documentation and performing the necessary legal due diligence associated with such matters
• Helping to build relationships with clients and others across the broader ecosystem and to grow the banking and lending team and expertise at Dentons. At Dentons associates and counsel are encouraged and incentivized to develop relationships and clients, and while a portable book of business is not expected for a candidate applying for this role, Dentons is very entrepreneurial and those senior associates and counsel that have designs on doing so will be given broad support and encouragement to do so.
• Significant involvement in cross-border and/or multi-jurisdictional debt financing matters as part of a team of attorneys at the most global law firm in the world.

This is a unique chance to join a team of lawyers who are passionate about sophisticated, efficient client service as well as building brand in the marketplace. Pursuant to New York law, the salary range for this position in New York City is $390,000 to $440,000, based on experience. Based on years of experience, Dentons US LLP associates may have a title of Associate, Managing Associate, or Senior Managing Associate. Other requirements

• Should be licensed to practice law in the State of New York and be in good standing
• Dentons expects its attorneys to be in the office a minimum of three days a week, but there is a strong preference for candidates that want to be in the office more as we seek to build the practice and its brand in the market
