Rowin Gurusami is a Senior Associate at Dentons' Mauritius office. He is a member of the Corporate Advisory team.

Rowin has been involved in transactional matters in areas of investment funds, contract law, corporate and commercial law. During the last few years, Rowin has also dealt extensively with investment funds based in Mauritius and investing in India or Africa, as well as being involved in the drafting of such funds’ constitutive documents (including Private Placement Memorandums, constitution, subscription agreements and other investment agreements). He regularly assists on corporate matters such as takeovers, acquisitions and restructures.

He has also been involved in various real estate matters, forming part of the team that has advised major foreign investment companies from the conception stage to construction and management of property; including exclusive luxury IRS/RES/PDS villas, energy production plants and other landmark projects.

Furthermore, Rowin has been regularly involved in various employment law related issues, company secretarial matters as well as lecturing on corporate, insolvency and employment law.

Experience

Arthveda Global Investment LLC: Reviewing and drafting corporate documentation (Private Placement Memorandum, Subscription Agreements, Constitution and other management/advisory agreements) in respect of the setting up of a closed end fund operating as a Professional Collective Investment Scheme, incorporated in Mauritius and investing into India.
Royale Partners Investment Fund: Reviewing and drafting corporate documentation (Private Placement Memorandum, Subscription Agreements, Constitution and other management/advisory agreements) in respect of the setting up of a closed end fund operating as a Professional Collective Investment Scheme. One of the main investments of the Fund would be the acquisition of The Plaza Hotel and the Pierre Hotel in New York.
Professional CIS and Expert Funds: Reviewing and drafting corporate documentation (Private Placement Memorandum, Subscription Agreements, Constitution and other management/advisory agreements) in respect of the setting up of open ended or closed end fund operating as a Professional Collective Investment Scheme or Expert Fund, incorporated in Mauritius and investing mainly into India and African countries. Includes funds such as Airavat Capital Holdings, India Growth Fund Ltd, Alpha Special Opportunity Fund – I, Equanimity Ventures Fund Limited, OBOR Capital PCC, Sundaram Alternative Opportunities Fund Mauritius Limited, Filter Capital Fund I Ltd, Leo Capital Fund I, Focus Inde Growth Fund Ltd, 1729 Capital Fund, India Moats Fund.
Mahindra Gears Global Limited: Assisting on behalf of a Mauritius entity in respect of a reverse merger with its Italian subsidiary.
Courts Mammouth: Assisting on behalf of a consortium of investors who acquired the assets of Courts (the number 1 furniture, housing and electronic goods in Mauritius) following the administration of the BAI Group in Mauritius.
Chedid Capital Holding: Assisting on behalf of a Lebanese group acquiring a 50% stake in the biggest insurance broker company in Mauritius.
Confidential clients: Assisting on behalf of various investors acquiring the shareholding of Mauritius entities holding Category 1 or Category 2 Global Business Licenses. Reviewed and drafted documentation in respect of acquisition of shares, issue of shares and provision of fixed/floating charges or share pledges in relation to such transactions.
