Paris—Global law firm Dentons advised French private equity firm Sparring Capital on its acquisition of a majority stake in Nalys, an independent engineering consulting firm in Belgium.  Sparring's investment will help finance the restructuring and further development of the group following the departure of two of Nalys’ three original founders.

Created in 2011, Nalys group provides engineering consulting services for high technology projects and has recognized expertise in life sciences and embedded systems.  The group has an annual turnover of around €25 million and a workforce of 240 people.

Sparring Capital is an independent management company specializing in equity investments in unlisted small and medium enterprises to accelerate their growth. Sparring has made more than 30 acquisitions and raised more than €700 million from French and international investors, most of them institutional.

A multi-disciplinary team from Dentons' Paris office assisted Sparring Capital in all aspects of the deal.  M&A partner Olivia Guéguen led the transaction with support from associates  Djésia Meziani and Pierre-Marie Gallo.  Of counsel  Jérôme le Berre advised on the tax aspects, while partner Katell Deniel-Allioux and of counsel Julie Ragueneau advised on employment issues.
