Dallas—Dentons announced today that Toni Weinstein, Donald A. Hammett Jr. and X. Lane Folsom have joined its Corporate Practice as partners.  The integrated team they lead focuses on public securities and transactional matters, particularly in Real Estate Investment Trusts (REITs), and real estate investment and operating structures.  They are resident in the Firm's Dallas office.

With their arrival, Dentons continues the momentum of significant corporate and tax hires around the world who are able to support clients with complex corporate transactions.

Weinstein is a seasoned securities lawyer who is recognized for advising some of the country's leading publicly-traded real estate operating companies in mergers and acquisitions (M&A), debt and equity financings, and in representing their boards and board committees.  Her private clients benefit from her experience in advising in acquisitions and joint venture, fund formation and other financing transactions.

In addition to writing and speaking on topics in real estate securities, mergers and acquisition, and other issues facing the real estate industry, Weinstein has served on the boards of the Texas Ballet Theater and the Dallas Film Festival.  She earned her JD from University of Southern California, her MBA from Cornell Graduate School of Business and her BS, cum laude, from Syracuse University.

Hammett advises his clients on tax issues, particularly related to the formation and financing of REITs and other partnership and pooled capital vehicles.  He has substantial experience with M&A involving corporate entities and REITs, as well as partnerships, limited liability companies and other pass-through entities.  His clients are privately-held companies and REITs, as well as national and regional developers and other companies that finance, own, manage and develop real estate and other assets. 

Hammett is a frequent speaker on topics relating to REITs and other real estate investment vehicles.  He graduated, cum laude, from Georgetown University Law Center where he was editor of The Tax Lawyer, and holds a BA from Yale University.

Folsom has a broad-based corporate and securities practice that includes corporate finance, private investment fund formation and M&A.  She advises public and private companies in a variety of debt and equity securities transactions as well as corporate governance and general corporate matters, as well as securitizations, debt restructurings and recapitalization transactions.  Folsom also advises public and private real estate investment trusts and corporations that finance, own, mange and develop real estate assets.

Folsom earned her JD from Cornell University Law School and her BD, cum laude, from Georgetown University.
