Experience

Bougainville Copper: Corporate counsel for Bougainville Copper on all projects since the 1970s.
Indochine Mining Limited: Providing project advice.
InterOil Group:
- Advising on the monetization of the Elk and Antelope gas fields, PNG’s second LNG project. Advised on the first set of negotiations with ExxonMobil and also in relation to negotiations with one of the selected bidders. The transaction is estimated at US$1.5 billion to US$3.6 billion.
- Advising on the construction of oil refinery and LNG plant in PNG and preparing enabling legislation.
Inpex Corporation (formerly Teikoku Oil): Representing its oil and gas exploration activities in the Timor Sea including PRRT, environmental management, spill contingency plans and rig hire, wire logging and all associated agreements.
Liquid Niugini Gas Ltd:
- Advising on project agreement negotiations with Independent State of PNG for LNG project. Participants: InterOil, Merrill Lynch, Pacific LNG in respect of an LNG plant and pipeline.
- Negotiating joint venture arrangements for construction operations of condensate stripping plant with Mitsui.
The Beijing Axis: Acting as PNG legal advisor to The Beijing Axis and their Chinese client in relation to a possible farm-in and joint venture with Harmony Gold in relation to their Hidden Valley mine in Morobe Province. The Firm undertook due diligence on the licenses Harmony held and provided PNG legal advice on all aspects of the deal.
TVI Pacific Inc: Acting as PNG legal advisor in connection with their proposed farm-in and joint venture arrangements with Foyson Resources Limited (ASX listed). The Firm undertook extensive due diligence on Foyson's PNG exploration licenses and provided legal advice including guidance on PNG political, legal and mining matters.
Independent Public Business Corporation (IPBC): Advising on the relocation of the port of Port Moresby. The K$1.2 billion project involves the acquisition of an existing wharf, reclamation of a portion of the harbour, building of a major international wharf, dredging, along with causeways, services, and laydown areas. Dentons is also acting on the contracting of the design and construction of the additional infrastructure work, environmental issues arising from the reclamation of parts of the harbour, as well as advising on complex competition law issues.
InterOil Group: Acting as lead PNG advisor in regards to the negotiation of the transaction documents in relation to the construction and operation of a two million tonne per annum (mtpa) floating liquefied natural gas (LNG) processing vessel (FLNG)—deal value US$1 billion.
National Capital District Commission: Acting as legal adviser in relation to the NCD Roads project which involves the acquisition of the road corridors, preparation of new trustees of land for the road, dealing with all legal matters in relation to the project.
PNG Energy Developments Limited (Joint venture between PNGSDP and Origin Energy): Advising on major damn and hydro projects in Papua New Guinea including Purari Dam and Yonki Dam.
PNG Sustainable Development Program Ltd: Advising on the proposed deep sea port facility at Daru in PNG. Our role involved advising on structuring including establishment of a special purpose company; drafting and negotiating the SPV shareholder agreement and other foundation documents; drafting binding term sheets and option agreements to secure a port operator; and drafting option agreements with respect to various legal and regulatory issues.
Western Province Sustainable Power Limited:
- Tender and documentation of contract for construction of 53 telecommunications towers in Western and Gulf Provinces of PNG. Subsequent purchase of eight additional towers to complete acquisition of the entire telecommunications network. Drafting and negotiation contracts for the management and maintenance of the towers.
- Tender and EPC contract documentation for Togarao rural hydro-electrification project.
