Dentons represented the energy sector company Enea in its acquisition of a 100 percent stake in Engie Energia Polska, the owner of the Połaniec power plant. The deal was worth more than €290 million.

The Połaniec power plant is made up of eight generating units with total installed capacity of 1.9 GW, and accounts for five percent of electricity produced in Poland. The plant ranks among the most efficient electricity generators in the country, thanks in part to a modernization program implemented in recent years at a cost of around €350 million. The transaction made the Enea Group the second largest electricity generator in Poland, with total capacity now up to 5.2 GW.

Dentons performed a due diligence ahead of the transaction, drafted and negotiated the transaction documentation, and drafted the required notification of an intended concentration to the Chair of Poland’s antitrust authority (the Office for Competition and Consumer Protection).
