Frankfurt—Global law firm Dentons has advised on the squeeze-out of the minority shareholders in Covivio Office AG by the majority shareholder Covivo Office Holding GmbH.

The resolution taken during the company’s virtual general meeting on March 25, 2021, stipulating that the shares of the minority shareholders in Covivio Office AG shall be transferred to the major shareholder Covivio Office Holding GmbH, was entered into the commercial register on March 18, 2021.

In return for the transfer of shares, the minority shareholders will get a cash compensation of €6.42 per share. The company value for Covivio Office AG, as assessed in an expert opinion, amounts to approximately €700 million.
